1Introduction

This Master Subscription Agreement (hereinafter “MSA”) is an agreement between you or the entity that you represent (hereinafter “You” or “Your”) and GFoundry Lda, the company that owns the talent management Software as a Service (hereinafter “GFoundry” or “Service”). By signing up for GFoundry, you agree to the terms of this agreement.

2Acceptance of terms

By accessing or using the GFoundry platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, you should not use the Service.

3Service description

The Service provides talent management solutions, including, but not limited to:

• Talent attraction, recruitment, and assessment
• Onboarding, learning, and development
• Performance and career management
• Innovation and ideas management
• Recognition and feedback
• Competency mapping
• Internal communication and employee engagement
• Goal management using the OKR methodology

4Registration and access

To access the Service, you may be required to provide registration details. You are responsible for maintaining the accuracy and confidentiality of such information.

5User conduct

Users agree to use the Service for lawful purposes and in a way that respects the rights of others. Misuse, unauthorized access, or interference with platform functionalities is strictly prohibited.

6Intellectual property

All content, software, graphics, and other materials provided by the Service are the property of GFoundry or its licensors and are protected by copyright, trademark, and intellectual property laws.

7Changes to terms

GFoundry reserves the right to modify these Terms at any time. Continued use of the Service after modifications will constitute acknowledgment and acceptance of the updated Terms.

8Termination

GFoundry may suspend or terminate access to the Service without prior notice if you violate these Terms.

9Limitation of liability

GFoundry shall not be liable for any direct, indirect, incidental, special, or consequential damages, including loss of profits or data, arising from the use of the Service.

10Security and compliance

GFoundry operates on Google Cloud Infrastructure, ensuring:

• Secure data encryption (at rest and in transit)
• Multi-zone redundancy to enhance availability
• Continuous monitoring and security compliance with GDPR and ISO standards

Additionally, GFoundry follows its Security Incident Governance Framework, which ensures:

• Immediate incident detection and response
• 72-hour notification to clients in case of data breaches (as per GDPR)
• Regular security audits and improvements

11Fees and payment

11.1 User fees

The cost of paid services is listed on the GFoundry website. Fees are non-refundable, except where explicitly stated.

11.2 Invoicing and payment

Users must provide valid payment details for subscription renewals. Fees may be charged monthly, quarterly, or annually.

11.3 Suspension of service

Failure to process payments may result in suspension of paid services until outstanding balances are cleared.

11.4 Taxes

Users are responsible for paying any applicable taxes associated with purchases.

12Governing law

These Terms are governed by the laws of the jurisdiction in which GFoundry is based, without regard to conflict of law provisions.
